The FreeGeek Columbus Bylaws specify that the new directors are elected by the board, however the decision was made at the board meeting last night to give the Community Council Committee the authority to decide who the new board members will be. The board must still "vote" on the candidates at the October meeting, however the board has committed to affirm whatever recommendations are submitted by the CCC. Here's how it will work: * The CCC will choose up to 5 people to fill the vacant and expiring seats * The CCC may elect to submit fewer than 5 names. Director positions that are not filled will be eliminated, thereby reducing the size of the board (currently set at 11) * Potential candidates may be nominated by post to the Core mailing list (i.e. this mailing list) from September 10 through September 24. * Nominated candidates must affirm by post to the Core mailing list their candidacy between September 25 and October 2. * The Community Council Committee shall convene a meeting at their convenience before the October Board Meeting to reach by consensus the list of recommendations to submit to the Board for election to the Board. * It is acceptable for nominations and affirmations to be posted on behalf of a person who is not subscribed to the Core list. * This list of recommendations shall be documented in the Community Council Committee meeting minutes and posted to the Core mailing list no later than October 25. * The selections of the CCC will affirmed by the board at the next board meeting on October 27, 2010 at 5:30pm at Summit UMC. Now I'd like to post my own opinions of what FreeGeek directors do and why you should consider nominating yourself or another person who you respect. === What does the FreeGeek board do? === Lately, the board has been trying to do as little as possible! I say that in jest, but to some extent it is true. The Infrastructure group has been doing a fantastic job with the day-to-day operations of the shop and the nascent Community Council will provide vision and guidance and focus on the big picture items. That just leaves financial and legal responsibilities for the board. For example, the board is responsible for: * Making sure the organization is financially solvent * Entering into legal agreements (such as leases) * Making sure the organization complies with government regulations * Filing government paperwork such as corporation documents and taxes Until the Community Council is finalized, the board will also: * Promote FreeGeek in the community * Work to ensure that the organization stays true to the Free Geek principles * Seek fundraising opportunities * Represent the organization in local cooperatives such as Community Shares of Mid Ohio (CoSMO) * Deal with issues that other groups don't feel comfortable or empowered to deal with === What is the time commitment? === At minimum, directors are expected to attend and actively participate in Board of Directors meetings. These meetings are typically held once per month and last two or three hours (sometimes more, sometimes less). It is not a problem to miss a meeting every now and them, however if you don't think you can make it to the vast majority of the meetings, you should not be a director. The meeting days and times can be scheduled to accommodate the availability of the directors (within reason). Once the Community Council is born and begins assuming responsibility, the frequency and duration of board meetings will likely decrease. At minimum, the board must meet once per year. As a director, you may be asked to take on a project, or you may take the initiative to work on something on your own. The amount of time that you commit to board projects is up to you, but if you make a commitment you should do your best to keep it. === Why should you be a director? === Handling financial and legal affairs is hard and unexciting work (to me at least), but it is absolutely critical to the survival of the organization. Much of our ability to attract donors hinges on our status as an IRS-recognized charity, and our ability to enter into contracts depends on our status as an Ohio corporation. It is important that we have dedicated people (like you) working to ensure that this infrastructure is maintained. Equally important is that the directors selected this year will have the privilege and responsibility to enact the Community Council. The Community Council Committee has worked hard to generate the framework for this group and they have covered a lot of road, but it is the board that must go the last mile and actually make it happen by updating the Bylaws in a way that is both true to the Free Geek principles and valid under Ohio law. This is not a trivial task, but I believe it can be done, and that it can be done in such a way that the Community Council will be a legitimate decision-making body that is empowered to make nearly all of the decisions required by the organization. See attachments. But this is readily fixed. The board needs to authorize the filing of SOS Forms 521 and 525B, see attached, and thereby either correct Scott's address or perhaps appoint me or another attorney with quasi-permanent address as the agent. Cancellation and reinstatement is only very common for non-profit organizations. I last previously needed to deal with it, last month. Message-ID: Hey everybody - We had a great booth at Ohio Linux Fest this year! Thanks to Adam, Larry, Lisa, Scott, and Paul for helping staff it and trade off shifts. We got off to a little bit of a shaky start with the lack of distributable material, but luckily Adam and Lisa pulled our feet from the fire and rustled up some handouts. We got $29 in donations which I dropped in the safe, including $15 for the 'sale' of the commodore 128 in the box. I was in the shop at 10 PM Sunday night to return everything. A couple notes for next year: - Seems like most everybody local knows of us. Very few who didn't. In the future, we might have some signs in placards with nice pictures to promote local involvement. PIctures of the shop, with volunteers working, would be good, also pictures showing a donation coming in. - Most out of towners were asking if there was a Freegeek in their area. I counted some 6-8 people asking about the Cleveland/Akron/Canton area. So a good idea next year might be a map of the US showing FG locations with stars or something, and maybe another regional map showing where people are from, or interest. - 1 or 2 old machines are enough to attract interest. We brought the really heavy Dec stations, and they just look like another couple of grey boxes on the machine. But I did learn that an *open* computer attracts a lot of attention. - It would probably be good to have two flyers: 1 business card sized flyers, for people who just want to remember us, and another half or full sheet flyer with more information and pictures, for those who want more. -- "Computers are useless.
